1. Agreement and versioning
These Terms of Use govern access to Lumiere, including the hosted app, account page, journal, local connector materials, educational analysis, forecast preview surfaces, paper-plan workflows, and related beta features. By creating an account, signing in, or using protected Lumiere surfaces, you agree to the current Terms and the current Privacy Policy.
Lumiere records the accepted Terms and Privacy Policy versions. If either document changes materially, Lumiere may require renewed acceptance before opening protected app, journal, or admin workflows. Optional research consent is separate and is not granted merely by accepting these Terms.
2. Beta product status
Lumiere is a beta education, research, paper-planning, and review workflow. Features may be incomplete, experimental, unavailable, delayed, or changed. Lumiere may suspend or modify beta access, plans, features, or local connector availability at any time for safety, compliance, security, operational, or product reasons.
3. Eligibility and accounts
You must be able to form a binding contract and comply with applicable laws. You are responsible for keeping your account email, login method, local machine, browser, and any connected local tools secure. You must not share access in a way that bypasses plan, entitlement, security, or compliance controls.
4. Not financial, investment, tax, legal, or brokerage advice
Lumiere is not a registered investment adviser, broker-dealer, exchange, securities marketplace, futures commission merchant, commodity trading advisor, tax adviser, law firm, fiduciary, or financial planner. Lumiere does not manage money, custody assets, open brokerage accounts, execute trades for customers, recommend securities, determine suitability, or provide individualized financial, investment, tax, legal, or brokerage advice.
Lumiere output is educational context for user review. It is not a recommendation or instruction to buy, sell, short, hold, enter, exit, size, hedge, or otherwise trade any security, option, derivative, cryptocurrency, commodity, or financial instrument. You are solely responsible for decisions made before, during, or after using Lumiere.
5. No suitability review
Lumiere does not know or evaluate your full financial situation, risk tolerance, tax status, liquidity needs, investment objectives, time horizon, portfolio, restrictions, or suitability profile. Do not treat any chart pattern, forecast, risk calculation, paper plan, AI explanation, or journal artifact as suitable for you or anyone else.
6. Trading and market risk
Trading involves risk, including loss of principal. Active trading, short selling, margin, options, derivatives, leveraged products, thinly traded securities, volatile securities, and news-driven momentum setups can involve substantial or total loss. Review the Risk Disclosure before using Lumiere for any market-related workflow.
7. Market data, news, AI, and forecast limitations
Market data, quotes, candles, volume, provider status, news, AI explanations, chart labels, model forecasts, risk calculations, and paper-plan outputs can be delayed, stale, incomplete, inaccurate, misclassified, unavailable, or sourced from fallback providers. Lumiere can use local IBKR Paper TWS data, Polygon cloud data when configured, public Yahoo fallback data, OpenAI models when configured, and local forecast-worker output when enabled.
Forecasts from Kronos, TimesFM, trained variants, or baselines are educational forecast context only. They remain hidden from the default workflow unless the exact IBKR walk-forward evaluation gate passes and the separate default UI flag is enabled. User behavior and paper outcome metadata cannot promote a model.
8. Local connector and IBKR boundaries
The Local Connector is designed for local Paper TWS market context. It is read-only in V1 unless a separately reviewed order-transmission feature is explicitly enabled. Lumiere is not affiliated with, sponsored by, or endorsed by Interactive Brokers unless a separate written agreement says otherwise. You are responsible for IBKR/TWS configuration, permissions, market-data subscriptions, and compliance with broker terms.
9. Paper plans and live trading
Paper plans are learning artifacts. They are not recommendations, signals, or instructions to place trades. Customer live trading, autonomous trading, copy trading, and broker order routing are excluded from the V1 commercial product. Any future order workflow must remain subject to strict safety, source, confirmation, and legal controls.
10. Optional research consent
Optional research scopes are managed in account settings and may include forecast improvement, paper outcome research, and product analytics. Accepting these Terms does not opt you into optional research telemetry. You may withdraw research consent through the account page. Research telemetry is disabled by default and production collection must remain disabled until counsel approves consent copy, retention, deletion/export handling, and policy language.
11. User content and journal entries
You are responsible for content you enter into Lumiere, including journal notes, tags, uploaded or captured screen content, setup descriptions, paper-plan data, and outcome metadata. Do not submit confidential, unlawful, infringing, harmful, or unauthorized content. Lumiere may process user content to provide the requested workflow and enforce safety and security controls.
12. Screen and voice features
Screen-read and voice features may send selected user-provided content to configured AI services to produce educational analysis. Do not submit passwords, API keys, account numbers, broker credentials, balances, personal financial profile details, or other sensitive data through screen, voice, journal, or prompt surfaces.
13. Fees, billing, and cancellation
Paid beta plans, checkout, portal access, renewals, cancellations, taxes, and payment disputes may be handled through Stripe or another payment provider. Pricing, plan names, trial terms, refund rules, cancellation timing, and taxes should be finalized in the checkout flow and counsel-reviewed commercial terms before broad launch.
14. Acceptable use
You must not misuse Lumiere, attack the service, bypass access controls, scrape restricted systems, reverse engineer protected components, overload local or hosted infrastructure, transmit malware, submit unlawful content, bypass broker controls, impersonate another person, or use Lumiere to make unsupported claims about guaranteed trading outcomes.
15. Third-party services
Lumiere may depend on third-party services, providers, APIs, models, browsers, broker software, data sources, hosting providers, email providers, and payment processors. Third-party terms and availability apply separately. Lumiere is not responsible for third-party outages, data delays, policy changes, pricing changes, or provider-side account restrictions.
16. Intellectual property
Lumiere and its software, designs, workflows, text, logos, documentation, model evaluation harnesses, and product structure are owned by Lumiere or its licensors. You may use Lumiere only as allowed by these Terms. Feedback may be used to improve Lumiere without creating compensation, ownership, or confidentiality obligations unless a separate written agreement says otherwise.
17. Disclaimers
Lumiere is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Lumiere disclaims warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, uptime, profitability, trading performance, data timeliness, model performance, or uninterrupted access. No output should be relied on as the sole basis for any financial decision.
18. Limitation of liability
To the fullest extent permitted by law, Lumiere will not be liable for lost profits, trading losses, investment losses, data loss, lost opportunities, indirect damages, special damages, consequential damages, punitive damages, or losses arising from use of or reliance on Lumiere outputs. Counsel should set the final liability cap, exclusions, and jurisdiction-specific carveouts.
19. Indemnity
You agree to defend and indemnify Lumiere from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of Lumiere, violation of these Terms, unlawful content, broker or market-data misuse, infringement, or decisions made outside Lumiere based on your own interpretation of Lumiere outputs.
20. Suspension and termination
Lumiere may suspend or terminate access if needed for security, compliance, nonpayment, product safety, misuse, unlawful activity, broker-control concerns, or violation of these Terms. Termination does not remove obligations that by their nature should survive, including disclaimers, liability limits, ownership terms, and payment obligations already incurred.
21. Governing law and disputes
Counsel must finalize governing law, venue, arbitration, class-action waiver, small-claims exceptions, injunctive relief, and consumer-law carveouts before production launch. Do not treat this draft as final dispute language.
22. Contact and legal review
Privacy and legal request channels must be finalized before production collection. Placeholder: privacy@lumiere.money and legal@lumiere.money. Production launch should not proceed until the company identity, mailing address if required, support process, data-request workflow, and counsel-approved contact language are complete.
